Southcross Energy Partners LP closed the acquisition of Eagle Ford Shale gas gathering, treating, compression and transportation assets from Southcross Holdings LP, the company said May 8.
The dropdown assets are Holdings’ Valley Wells sour gas gathering and treating system, compression assets in the Valley Wells and Lancaster gathering and treating systems and two NGL pipelines under construction.
Consideration for the assets consists of 4.5 million new Southcross common units issued to Holdings and $15 million in cash, totaling about $78 million.
The Valley Wells gathering system is in La Salle County, Texas. It serves EP Energy, Southcross said. The system treats about 100 million cubic feet per day of sour gas, and is connected to Southcross’ rich-gas system transport and processing system.
More than 50,000 horsepower of compression assets serve the Valley Wells and Lancaster gathering systems in Dimmt, Frio and La Salle counties.
The NGL pipelines include a Y-grade pipeline connecting Southcross’ Woodsboro processing facility to Holdings’ Robstown fractionator, and a propane pipeline from Southcross’ Bonnie View fractionator to the Corpus Christi, Texas, area.
The board of directors of Southcross’ general partner, and the board of Holdings’ general partner, approved the transaction. The conflicts committee for Southcross’ board also approved it, the company said.
The conflicts committee, comprised of independent directors, retained Akin Gump Strauss Hauer & Feld LLP as legal counsel.
Jefferies LLC was retained by the committee as financial adviser.
Southcross also said that it amended its revolving credit facility in conjunction with the acquisition.
Southcross will put about $26 million in capex toward the NGL pipelines’ completion. Once they are in service in July, the assets will generate about $18 million in annualized EBITDAX through fixed fee contracts.
John Bonn, CEO of Southcross’ general partner, said this is the company’s first dropdown from Holdings, and is a benefit from the TexStar combination transaction in 2014.
